Terms of Service

By engaging CodeCurious Technologies Pvt. Ltd. ("CodeCurious", "Agency", "we") via signed Statement of Work (SOW), online proposal acceptance, invoice payment, or project intake submission, the client ("Client", "you") agrees to be bound by these Master Terms of Service.

In the event of any explicit conflict between an executed bespoke SOW and these General Terms, the terms of the signed SOW shall take precedence for that specific project engagement.

CodeCurious provides dedicated technical design, software engineering, architecture, and deployment services including:

• Mobile Application Engineering: iOS (Swift), Android (Kotlin), and cross-platform (Flutter/React Native) development with 60 FPS smooth rendering.
• Web Platform Development: Full-stack Next.js, React, Node.js, Python FastAPI platforms with high-concurrency database backends.
• Enterprise ERP & Custom Software: Multi-tenant SaaS architectures, WebRTC live video pipelines, and API integrations.
• Autonomous AI Workflows: Private LLM integrations, RAG systems, LangGraph multi-agent automations, and zero-data-retention AI pipelines.
• Cloud SRE & DevOps: AWS, Google Cloud, and Kubernetes infrastructure provisioning with CI/CD automation.

We champion an uncompromising Client IP First policy:

CodeCurious retains ownership only over pre-existing open-source libraries, standardized boilerplates, and generic engineering utilities that do not contain Client-specific business logic or confidential algorithms.

Projects are structured into clear Agile sprints with transparent deliverables. Each sprint defines:

• Specific technical user stories and acceptance criteria.
• Target staging deployment and test build delivery dates.
• Assigned Principal Engineers and technical lead oversight.

Scope changes requested mid-sprint are formally documented via Change Orders to adjust sprint timelines and estimates predictably.

Invoices are issued according to the milestone schedule specified in the project SOW. Unless otherwise agreed in writing:

• Invoices are payable within 7 calendar days of issuance via international wire transfer (SWIFT), Stripe, or designated local bank transfer.
• Work on subsequent sprint phases commences upon settlement of prior sprint milestone invoices.
• All fees are quoted exclusive of applicable statutory taxes (e.g. GST in India or local withholding taxes), which shall be borne by the Client.

Each milestone delivery comes with a complimentary 14-day QA & acceptance testing window:

• The Client has 14 calendar days from staging delivery to verify functionality against the agreed acceptance criteria.
• Any verifiable bugs, functional deviations, or regressions reported during this 14-day window are remediated by CodeCurious at zero additional cost.
• After the 14-day period with no outstanding defect reports, the milestone is deemed formally accepted. Extended SLA maintenance packages are available thereafter.

Both parties agree to hold all proprietary information, software architectures, unreleased product roadmaps, commercial terms, and financial data in strict confidence for a minimum period of 5 years following disclosure. Neither party shall disclose Confidential Information to any unauthorized third party without prior written consent.

To the maximum extent permitted by applicable law, in no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business interruption). CodeCurious's total aggregate liability arising out of or related to any SOW shall be strictly capped at the total amount actually paid by the Client under that specific SOW during the preceding six (6) months.

These Terms and any dispute arising out of project engagements shall be governed by and construed in accordance with the substantive laws of India. The parties agree to submit to the exclusive jurisdiction of the competent courts situated in Mohali / Chandigarh, Punjab, India for the resolution of any legal proceedings.
